Third-Party Marketplace Sales Prohibition Policy

This Third-Party Marketplace Sales Prohibition Policy (the “Policy”) governs the sale, distribution, and resale of all products offered by Rho Nutrition (the “Products”).

1. Absolute Prohibition on Marketplace Sales

The sale, listing, offering for sale, distribution, or advertising of Rho Nutrition Products on any third-party online marketplace is strictly prohibited.

This includes, without limitation:

  • Amazon

  • Walmart

  • eBay

  • Any other online marketplace, auction platform, or third-party resale channel

This prohibition applies worldwide and without exception.

2. Binding Agreement and Acceptance

This Policy is incorporated by reference into all agreements between Rho Nutrition and any purchaser, reseller, distributor, retailer, affiliate, or partner (each, a “Partner”).

By purchasing, reselling, distributing, or otherwise dealing in Rho Nutrition Products, each Partner:

  • Acknowledges receipt of this Policy

  • Agrees to be legally bound by its terms

  • Agrees that compliance with this Policy is a material condition of any commercial relationship with Rho Nutrition

Failure to comply constitutes a material breach of contract.

3. Application Regardless of Source

This prohibition applies regardless of how Products are obtained, including:

  • Direct purchase from Rho Nutrition

  • Purchase through authorized distributors, including KeHE or similar partners

  • Purchase from retail stores

  • Any secondary or downstream transaction

No party may circumvent this Policy by sourcing Products through indirect channels.

4. No Authorization; Reservation of Rights

Rho Nutrition does not authorize any third-party marketplace sales under any circumstances.

No oral statement, course of dealing, or prior conduct shall create any exception. Any purported authorization not expressly granted in a written agreement signed by Rho Nutrition is void. Rho Nutrition expressly reserves all rights to control distribution and sales channels.

5. Quality Control and Material Differences

Rho Nutrition maintains strict quality control standards that are essential to product integrity, safety, and consumer trust.

Products sold outside authorized channels, including third-party marketplaces:

  • Are not subject to Rho Nutrition’s quality control, storage, or handling standards

  • May be expired, improperly stored, or altered

  • Are not eligible for any guarantees, support, or customer protections offered by Rho Nutrition

As a result, such Products are materially different from those sold through authorized channels. Unauthorized resale may mislead consumers and damage Rho Nutrition’s brand and reputation.

6. Intellectual Property and Unfair Competition

Any unauthorized marketplace listing or sale may constitute trademark infringement, false designation of origin, unfair competition, and unauthorized use of proprietary content, including product images, descriptions, and branding.

Rho Nutrition actively enforces its intellectual property rights and will pursue all available remedies.

7. Enforcement and Remedies

Rho Nutrition reserves the right to take immediate enforcement action for any violation, including termination of any agreement or business relationship, suspension or revocation of purchasing privileges, cancellation of pending or future orders, refusal to fulfill future orders, and pursuit of legal action.

Rho Nutrition may seek recovery of damages, including lost profits and reputational harm, as well as injunctive relief and recovery of attorneys’ fees and costs where permitted by law. All rights and remedies are cumulative and non-exclusive.

8. No Waiver; Strict Enforcement

Failure to enforce any provision of this Policy in a particular instance shall not constitute a waiver of Rho Nutrition’s rights. Rho Nutrition reserves the right to enforce this Policy at any time and against any party.

9. Acknowledgment

All Partners acknowledge that this Policy is reasonable and necessary to protect brand integrity, product quality, and consumers. Any violation will cause irreparable harm to Rho Nutrition, and monetary damages alone may be insufficient, making injunctive relief appropriate.
